This webinar will explain the legal requirements for offering and selling a corporation’s shares of stock every small business must know, such as understanding why stock is a “security”; compliance with state and federal securities laws, including securities registration and “private offering” exemptions; authorized investor” or who has a “preexisting relationship” with the offeror under federal and California law; rules for selling shares of stock to out-of-state purchasers; basic terms in stock purchase g, offering, and issuing shares of stock (including shares issued to founders and investors); understanding who is an “accredited agreements; and maintaining a stock ledger.
